1. Acceptance of terms

By creating an account or using StoqPulse, you agree to these Terms of Use and our Privacy Policy and Legal Disclaimer. If you do not agree, do not use the service.

2. Eligibility & account

You must be at least 18 years old and able to form a binding contract. You are responsible for all activity under your account and for keeping access to your email secure (sign-in uses one-time codes sent to your email).

3. The service — research only

StoqPulse is a research, screening, and backtesting tool for self-directed market research. It is not a registered investment adviser, broker-dealer, or financial planner, and does not provide personalized investment advice, trade instructions, or portfolio allocations. 4. Acceptable use

You agree not to: misuse or attempt to disrupt the service; reverse engineer or scrape it; resell or redistribute data feeds in violation of provider terms; upload unlawful content; or use the service for market manipulation, insider trading, or any illegal activity.

AI features must not be used to generate harmful, abusive, or unlawful content.

5. Subscriptions & billing

Paid plans (Starter, Pro, Power) are billed in advance on a recurring basis until cancelled. Free trials, if offered, convert to paid unless cancelled before the trial ends. Fees are non-refundable except where required by applicable law.

EU and UK residents: you may have a statutory right to withdraw from a new digital subscription within 14 days of purchase. However, by requesting immediate access to the service you explicitly consent to delivery beginning immediately and acknowledge that this cancellation right is thereby waived once the service has commenced.

We will give at least 30 days' advance notice before changing the price of any paid plan you are currently subscribed to.

You can manage or cancel your plan at any time in the customer portal.

6. Intellectual property

StoqPulse and its software, design, and content are owned by us or our licensors. You retain ownership of the data you input; you grant us a limited, non-exclusive license to process it solely to provide and improve the service.

7. Third-party data & availability

Data and AI outputs come from third parties and may be delayed, inaccurate, or unavailable. We provide the service 'as is' and 'as available' without warranties of any kind, and do not guarantee uptime, accuracy, or fitness for a particular purpose.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

8. Limitation of liability

To the maximum extent permitted by law, StoqPulse is not liable for any indirect, incidental, special, or consequential damages, or for any trading or investment losses arising from your use of the service. Our total aggregate liability to you is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $50 USD.

Nothing in these terms limits liability that cannot be excluded under applicable law (e.g., liability for death or personal injury caused by negligence, or for fraud).

9. Termination & changes

We may suspend or terminate accounts that violate these terms. We may update these terms and will revise the version date above; continued use after the effective date of changes constitutes acceptance.

Following termination, we will retain your data for up to 90 days to allow for dispute resolution or legal compliance, after which it will be deleted in accordance with our Privacy Policy unless required to be retained longer by law.

Sections 6, 8, 10, 11, 12, and 13 survive termination or expiration of these Terms.

10. Governing law & dispute resolution

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising under these terms or your use of the service will be resolved exclusively in the courts of the Province of Ontario, and you irrevocably submit to the personal jurisdiction of those courts, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction for intellectual-property claims or to prevent irreparable harm.

You waive any right to participate in a class-action lawsuit or class-wide arbitration. If you are accessing the service from Canada, the European Union, or the United Kingdom, mandatory local consumer protection laws continue to apply and nothing in this clause limits rights you cannot waive by contract.

11. General provisions

If any provision of these terms is found invalid or unenforceable, the remaining provisions remain in full force and effect (severability). Our failure to enforce any right or provision is not a waiver of that right or provision.

These Terms, together with our Privacy Policy and Legal Disclaimer, constitute the entire agreement between you and StoqPulse with respect to the service and supersede all prior or contemporaneous agreements, understandings, and representations on the same subject matter.

12. Indemnification

You agree to indemnify, defend, and hold harmless StoqPulse, Inc. and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the service in violation of applicable law; or (c) any content or data you submit that infringes the rights of a third party.

13. Force majeure

Neither party is liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including natural disasters, acts of government, internet or infrastructure outages, cyberattacks, third-party data-provider failures, or labour disputes.
